HYATT GOLD PASSPORT® ONLINE AUCTION
TERMS OF USE

Welcome to the Hyatt Gold Passport® online auction site (the "Auction Site") for Hyatt Corporation ("Hyatt", "we", "our", or "us") located at www.goldpassport.com/exclusives. The Auction Site acts as a venue to permit Hyatt Gold Passport members at least twenty-one (21) years of age whose membership is in good standing ("Members") to bid for and acquire a variety of items, including without limitation event tickets and access to special events ("Bid Items"), using Hyatt Gold Passport points accrued in a Member’s account ("Points") in an auction-style format.

These Terms of Use (this "Agreement") contains the terms and conditions applicable to your use of the Auction Site. Please read this Agreement carefully. You are only permitted to participate in the Auction Site if you indicate your agreement to be bound by the terms and conditions of this Agreement as set forth herein.

By clicking on the "I Accept" button, you acknowledge that you have read, agree with and accept all of the terms and conditions contained in this Agreement. Hyatt reserves the right, at any time, to modify, alter or update this Agreement by posting the amended terms on the Auction Site, and you agree that your continued participation in the Auction Site after any such revisions to this Agreement have been made indicates your acceptance to be bound by any such changes.

While this Agreement provides a general description of how the Auction Site works, Members should refer to our FAQs located at www.goldpassport.com/exclusives for answers to frequently asked questions and other detailed information about how to use the Auction Site. Answers to FAQs become part of this Agreement as if fully set forth herein.

  • 1. Membership Eligibility

    • (a) Only Members may participate in the Auction Site. By participating in the Auction Site, you warrant and represent that you have the right, authority, and capacity to enter into this Agreement. Your participation in the Auction Site is void where prohibited.

    • (b) You further agree not to allow any third party to use your account to access the Auction Site, and to safeguard the information that would allow another person or entity to access the Auction Site by using your Member profile (like your user ID and password). You agree to be responsible for your failure to safeguard such information and/or allowing any other person or entity to access or use the Auction Site by using your account or other personally identifiable information ("Personal Information"). No part of your Member profile may be transferred or sold to another party.

    • (c) Hyatt reserves the right in its sole discretion to discontinue the membership of any Member at any time for any reason, including without limitation violating the terms of this Agreement. Such revocation of membership may result in the loss of Points, benefits, and/or other privileges, and you agree that Hyatt shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, to protect its interests.

    • (d) Hyatt reserves the right in its sole discretion to cancel or suspend any particular auction for a Bid Item (each, an "Auction") in whole or in part at any time for any reason.

  • 2. Taxes and Fees Associated with the Auction

    • You acknowledge and agree that some Bid Items may be subject to taxes and fees payable in cash rather than in Points, which shall be the sole responsibility of the Members who are receiving such items.

  • 3. Bidding and Winning

  • Placing a Bid

    • (a) Hyatt will set a minimum amount of Points ("Minimum Bid") for each Bid Item. With respect to each particular Bid Item, Members must bid at least the Minimum Bid if no other amount has already been bid, or an amount greater than the current highest bid, as indicated on the page of the Auction Site on which such Bid Item appears. PLEASE NOTE THAT PAGES OF THE AUCTION SITE ON WHICH BID ITEMS APPEAR ARE NOT AUTOMATICALLY REFRESHED, AND YOU AGREE THAT YOU WILL BE RESPONSIBLE FOR REFRESHING SUCH PAGES BEFORE PLACING A BID TO ENSURE THAT THE HIGHEST BID INDICATED ON THE PAGE THAT YOU ARE VIEWING IS CURRENT.

    • (b) By bidding on a Bid Item, you warrant and represent that your Hyatt Gold Passport account contains at least the number of Points that you are bidding at the time you place your bid, and that you will maintain at least such number of Points in your account until either the particular Auction for such Bid Item has closed or a new high bid from another Member has been registered by the Auction Site. In the event that Hyatt hosts simultaneous Auctions, you may bid Points in each such Auction; however, you agree that you may not bid more Points in the aggregate among Bid Items in such Auctions as are available in your Hyatt Gold Passport account. Hyatt may also list multiple quantities of the same Bid Item in any particular Auction, and with respect to such Auctions you agree to specify the quantity of Bid Items desired in submitting your bid. Members may not combine Points to place a bid, except as determined by Hyatt in writing in its sole discretion.

    • (c) You agree that before you are eligible to bid on any particular Bid Item, you shall carefully read and agree to any and all ancillary terms and conditions ("Ancillary Terms") that are posted with respect to such Bid Item and the Auction in which such Bid Item appears. You agree that your participation in an Auction indicates that you have agreed to any Ancillary Terms thereof or in connection with any applicable Bid Item. Ancillary Terms will include, without limitation, the date and time at which the Auction is scheduled to close, a description of the Bid Items contained in such Auction and a summary of terms and conditions that a Member must agree to in order to obtain such Bid Items.

  • Receiving a Bid Item

    • (a) Bid Items will be won by the Member who is the highest bidder at the close of any Auction and who has the requisite number of Points available in such Member's Hyatt Gold Passport account. You acknowledge and agree that once accepted, bids are not revocable, except in exceptional circumstances as determined by Hyatt in its sole discretion. You further acknowledge and agree that if you are the highest bidder of any Bid Item at the close of any Auction (and you have met the applicable Minimum Bid requirements), you hereby authorize Hyatt to deduct such Points from your Hyatt Gold Passport account at the close of such Auction. You also acknowledge and agree that as the winner of any Bid Item you shall execute any consents, releases, or other agreements required by Hyatt, as specified in the Ancillary Terms, in order to take possession of the Bid Item. You acknowledge and agree that if, for any reason, you decide not to execute any such agreements or you otherwise fail to act in accordance with Hyatt’s policies regarding the transfer of such Bid Item to you, you shall forfeit all claims to the Points redeemed for the Bid Item and Hyatt shall have the right, in its sole discretion, to retain and offer such Bid Item in future Auctions or otherwise dispose thereof.

    • (b) Each winner of a Bid Item must confirm receipt of the Bid Item in writing by accurately and fully completing the paperwork contained in a "Winning Bid Package", which will be sent to each Auction winner via such Member’s email account or by postal mail. The Winning Bid Package shall include, without limitation, a Member information verification form (to verify the address to where the Bid Item should be shipped by Hyatt), consents for Members to sign with respect to liability, publicity rights, etc., and other documents in connection with the Bid Item.

    • (c) Unless expressly provided otherwise in the Ancillary Terms, Bid Items are not transferable and may not be resold. Hyatt may, in its sole discretion, indicate in the Ancillary Terms that the winner of an Auction may transfer such winner’s Bid Item to a third party as a gift. If such a transfer is authorized by Hyatt, the transferring Member must first execute the documents contained in the Winning Bid Package to effectuate such a transfer. Members should consult with their tax advisors before transferring Bid Items to a third party.

    • 4. Bid Items:

    • Bid item I: Minimum bid of 40,000 Hyatt Gold Passport Points. Consists of one (1) Texas Motor Speedway Racing School package. (ARV $1,200 USD). Package must be used/completed by October 26, 2008.
      Package includes:
      One (1) 30-minute training session at Texas Speedway, overnight accommodations for two (2) at Hyatt Regency DFW, Dinner in Mister G’s steakhouse or Jacob’s Spring Grille for two (2), breakfast for two (s) in Jacob’s Spring Grille restaurant and transportation to/from the airport.
      • a. 30 minute training session at Texas Speedway includes:
        1. Accompaniment of an instructor on the track to learn the proper driving groove
        2. Completion of 10 laps on the Speedway
      • b. Overnight accommodations at Hyatt Regency DFW includes:
        1. Standard room accomodations based on double occupancy
        2. One (1) dinner for two may be redeemed in Mister G's steakhouse Monday through Friday or Jacob's Spring Grille Saturday or Sunday. Dinner does not include alcoholic beverages, tax or gratuity.
        3. Breakfast for two (2) is valid in Jacob's Spring Grille restaurant; not applicable for in-room dinning; does not include alcoholic beverages, tax, gratuity
      • c. Transportation to/from the airport will be provided by Hyatt Regency DFW
    • 4.1.2 Hyatt will contact the winner via e-mail or postal letter on or about 72 hours from close of bidding. Hyatt will provide winner with “Winning Bid Package” that must be completed and returned to Hyatt before winner will receive event tickets. Once Hyatt receives the completed Package documents the winner will be contacted by Hyatt to finalize delivery of event tickets and provide on-site hotel contact.
    • 4.1.3 In the event of unavailability of any auction item, Hyatt reserves the right to substitute an auction item of equal or greater value. No cash substitutions will be made.
    • 4.1.4 Bidding ends promptly at 10:59:59pm CT (GMT -06:00) on August 5, 2008.


    • Bid item II: Minimum bid of 70,000 Hyatt Gold Passport Points. Consists of one (1) Monterey Jazz Festival package valid September 19 through September 22, 2008. (AVR $14,000 USD).
      Package includes:
      One (1) Day Pass to the Monterey Jazz Festival for four (4) people, three (3) night accommodations at Hyatt Regency Monterey and dinner for four (4) in TusCA Ristorante.
      • a. Three (3) night accommodations at Hyatt Regency Monterey includes:
        1. President's House accommodations for up to four (4) people
        2. Dinner for up to four (4) people in TusCA Ristorante does not include alcoholic beverages, tax or gratuity
    • 4.2.2 Hyatt will contact the winner via e-mail or postal letter on or about 72 hours from close of bidding. Hyatt will provide winner with “Winning Bid Package” that must be completed and returned to Hyatt before winner will receive event tickets. Once Hyatt receives the completed Package documents the winner will be contacted by Hyatt to finalize delivery of event tickets and provide on-site hotel contact.
    • 4.2.3 Winner (and traveling companions) are responsible for any expenses not expressly included, such as air transportation, taxes, food, ground transportation, insurance, gratuities, activities and other incidental costs. Winner and traveling companion are responsible for obtaining any necessary traveling documentation (including passports and visas). Additional restrictions may apply. Winner and traveling companion will not accrue Hyatt Gold Passport points. Hyatt is not responsible for any fees or additional charges resulting from winner's change of travel plans. No cash substitutions will be made.
    • 4.2.4 Bidding ends promptly at 10:59:59pm CT (GMT -06:00) on August 5, 2008.


    • Bid item III: Minimum bid of 75,000 Hyatt Gold Passport Points Consists of one (1) Golf Lessons with a Pro package valid through December 30, 2008 (AVR $1,514 USD).
      Package includes:
      Two (2) private one-hour sessions with Pro Golfer Fred Griffin, at the Grand Cypress Academy of Golf, Round of golf for two (2), Taylor Made Tour Burner driver, personalized fitting for the Taylor Made driver and two (2) night accommodations at Hyatt Regency Grand Cypress.
      • a. Taylor Made Tour Burner driver
      • b. Personalized fitting for a Taylor Made driver (if desired)
      • c. Hyatt Regency Grand Cypress accommodations
        1. Standard room accommodations based on double occupancy
    • 4.3.2 Hyatt will contact the winner via e-mail or postal letter on or about 72 hours from close of bidding. Hyatt will provide winner with “Winning Bid Package” that must be completed and returned to Hyatt before winner will receive event tickets. Once Hyatt receives the completed Package documents the winner will be contacted by Hyatt to finalize delivery of event tickets and provide on-site hotel contact
    • 4.3.3 Winner (and traveling companions) are responsible for any expenses not expressly included, such as air transportation, taxes, food, ground transportation, insurance, gratuities, activities and other incidental costs. Winner and traveling companion are responsible for obtaining any necessary traveling documentation (including passports and visas). Additional restrictions may apply. Winner and traveling companion will not accrue Hyatt Gold Passport points. Hyatt is not responsible for any fees or additional charges resulting from winner's change of travel plans. In the event of unavailability of any auction item, Hyatt reserves the right to substitute an auction item of equal or greater value. No cash substitutions will be made.
    • 4.3.4 Bidding ends promptly at 10:59:59pm CT (GMT -06:00) on August 5, 2008..


    • 4.4 Bid item IV: Minimum bid of 65,000 Hyatt Gold Passport Points. Consists of one (1) Wineries of Santiago, Chile package valid January 1-February 28, 2009. (AVR $9,800 USD).
      Package includes:
      One (1) private city tour of Santiago in a Viano Mercedez for three (3) hours, one (1) tour of a premium winery and lunch in Casablanca Valley, one (1) 60 minute spa treatment for two (2) in Ako Spa, Three (3) night accommodation at Grand Hyatt Santiago and daily breakfast, evening cocktails and hors d oeuvres in the Grand Club Lounge.
      • a. One (1) tour of a premium winery and lunch in Casablanca Valley
        1. Selection of winery is at the discretion of the hotel
        2. Lunch is provided by the winery and is at the discretion of the winery
      • b. Three (3) night accommodation at Grand Hyatt Santiago
        1. Overnight accommodations is valid for up to two (2) adult in the Presidential Suite
        2. Daily breakfast, evening cocktails, and hors d oeuvres is available in the Grand Lounge
    • 4.4.2 Hyatt will contact the winner via e-mail or postal letter on or about 72 hours from close of bidding. Hyatt will provide winner with “Winning Bid Package” that must be completed and returned to Hyatt before winner will receive event tickets. Once Hyatt receives the completed Package documents the winner will be contacted by Hyatt to finalize delivery of event tickets and provide on-site hotel contact.
    • 4.4.3 Winner (and traveling companions) is responsible for any expenses not expressly included, such as air transportation, taxes, food, ground transportation, insurance, gratuities, activities and other incidental costs. Winner and traveling companion are responsible for obtaining any necessary traveling documentation (including passports and visas). Additional restrictions may apply.     • 4.5 Bid item V: Minimum bid of 125,000 Hyatt Gold Passport Points.Consists of one (1) Escape to Paradise with the Hyatt’s of Hawaii. (AVR $8,835 USD). Package must be used/completed by December 20, 2008.
      Package includes:
      Three (3) night accommodations at Grand Hyatt Kauai Resort and Spa, (3) night accommodations at Hyatt Regency Maui Resort & Spa and three (3) night accommodation at Hyatt Regency Waikiki Beach Resort and Spa.
      • a. Three (3) night accommodation at Grand Hyatt Kauai Resort and Spa
        1. Overnight accommodations is valid for up to two (2) adults in a deluxe Grand Club ocean view room
        2. Two (2) 50 minute spa treatments of choice at ANARA Spa
        3. Welcome Amenity (at discretion of hotel)
      • b. Three (3) night accommodations at Hyatt Regency Maui Resort and Spa
        1. Overnight accommodations is valid for up to two (2) adults in a deluxe Regency Club ocean view room
        2. Admission for two (2) on the Kapalua Kai Snorkel Sail
        3. Admission for two (2) at the Drums of the Pacific Luau
        4. Welcome amenity (at discretion of the hotel)
      • c. Three (s) night accommodations at Hyatt Regency Waikiki Beach Resort and Spa
        1. Overnight accommodations is valid for up to two (2) adults in a deluxe ocean view Regency Club room
        2. Dinner for two (2) at The Colony. Dinner does not include tax gratuity or alcoholic beverages.
        3. Two (2) 50 minute Couples Massage treatments at Na Ho’ola Spa
        4. Welcome amenity (at discretion of the hotel)
    • 4.5.2 Hyatt will contact the winner via e-mail or postal letter on or about 72 hours from close of bidding. Hyatt will provide winner with “Winning Bid Package” that must be completed and returned to Hyatt before winner will receive event tickets. Once Hyatt receives the completed Package documents the winner will be contacted by Hyatt to finalize delivery of event tickets and provide on-site hotel contact.
    • 4.5.3 Winner (and traveling companions) is responsible for any expenses not expressly included, such as air transportation, taxes, food, ground transportation, insurance, gratuities, activities and other incidental costs. Winner and traveling companion are responsible for obtaining any necessary traveling documentation (including passports and visas). Additional restrictions may apply.   • 5 Access and Interference

    • You agree that you will not (i) use any device, software or routine to interfere or attempt to interfere with the Auction Site, (ii) take any action to bypass our robot exclusion headers, (iii) take any action that imposes an unreasonable or disproportionately large load on the Auction Site infrastructure, or (iv) copy, reproduce, alter, modify, create derivative works, or publicly display any content from the Auction Site without the prior written permission of Hyatt.

  • 6. Privacy

    • Hyatt views the protection of our Members’ privacy as a very important responsibility. We do not sell the Personal Information that you submit as part of your Member profile to third parties for marketing purposes without your consent. We use your Personal Information only as described in our Privacy Policy at www.hyatt.com/hyatt/about/contact/privacy-policy.jsp. Third-party service providers with whom we work may have access to your Personal Information in order to carry out requests made by you through the Auction Site. Your Personal Information is stored and processed on computers located in the United States that are protected by commercially reasonable security devices.

  • 7 Exclusion of Warranties

    • (a) HYATT MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, WITH RESPECT TO THE AUCTION SITE OR ANY BID ITEMS APPEARING THEREIN, OR THE QUALITY OF ANY GOODS OR SERVICES IN CONNECTION THEREOF. SPECIFICALLY, HYATT DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE REGARDING THE AUCTION SITE AND SUCH ITEMS.

    • (b) ALL ITEMS ACQUIRED THROUGH THE AUCTION SITE ARE ACQUIRED AS IS AND WHERE IS. HYATT MAKES NO GUARANTY OF THE ACCURACY, CORRECTNESS OR COMPLETENESS OF ANY CONTENT ON THE AUCTION SITE AND IS NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS ARISING FROM THE USE OF ANY THEREOF; ANY FAILURES, DELAYS OR INTERRUPTIONS IN THE DELIVERY OF ANY CONTENT CONTAINED THEREIN; LOSSES OR DAMAGES ARISING FROM THE USE OF THE CONTENT PROVIDED BY THE AUCTION SITE; LOSSES OR DAMAGES ARISING FROM THE USE OF THE CONTENT PROVIDED BY THE AUCTION SITE; ANY CONDUCT BY USERS OF THE AUCTION SITE; OR ANY CONTENT OR BID ITEMS PROVIDED THROUGH OR IN CONJUNCTION WITH THE AUCTION SITE.

    • (c) HYATT MAKES NO REPRESENTATION THAT THE AUCTION SITE AND/OR ANY BID ITEMS ARE APPROPRIATE OR AVAILABLE FOR USE IN ALL LOCATIONS WHERE MEMBERS ARE LOCATED. MEMBERS ACKNOWLEDGE THAT THE AUCTION SITE MAY CONTAIN REFERENCES TO PRODUCTS AND SERVICES THAT ARE NOT AVAILABLE OR THAT ARE PROHIBITED INSIDE THE COUNTRY IN WHICH YOU ARE LOCATED.

    • (d) WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED OR SECURE ACCESS TO THE AUCTION SITE, AND OPERATION OF THE AUCTION SITE MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE OF OUR CONTROL.

  • 8 Limitation of Liability

    • (a) IN NO EVENT SHALL HYATT, ITS AFFILIATES, SUBSIDIARIES, EMPLOYEES SUPPLIERS OR THIRD PARTY SERVICE PROVIDERS OR MARKETING PARTNERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE AUCTION SITE, ANY GOODS AND/OR SERVICES ACQUIRED BY MEANS OF THE AUCTION SITE, WHETHER OR NOT THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HYATT’S LIABILITY, AND THE LIABILITY OF OUR AFFILIATES, SUBSIDIARIES, EMPLOYEES, SUPPLIERS, AND THIRD PARTY SERVICE PROVIDERS, TO YOU OR ANY THIRD PARTY IN ANY CIRCUMSTANCE IS LIMITED TO THE VALUE OF POINTS PAID BY YOU FOR THE GOODS AND/OR SERVICES WHICH GIVE RISE TO YOUR CLAIM.

    • (b) SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS IN SECTIONS 6 OR 7 HEREOF MAY NOT APPLY TO YOU.

  • 9. Indemnity

    • You agree to indemnify and hold Hyatt and its affiliates, subsidiaries, officers, directors, stockholders, agents, employees, and third party service providers or marketing partners harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

  • 10. Legal Compliance

    • You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of the Auction Site and your bidding on and winning of any Bid Item. You acknowledge and agree that any Bid Item you win may be subject to the U.S. Export Administration Laws and Regulations. The use and handling of Bid Items contrary to U.S. law and regulations is prohibited. You agree that non Bid Item is being or will be acquired for, shipped, transferred, or re-exported, directly or indirectly, to proscribed or embargoed countries or their nationals, unless authorized by the U.S. Government. A list of proscribed countries is set forth in the U.S. Export Administration Regulations. You agree to comply strictly with all U.S. export laws and assume sole responsibility for obtaining licenses to export or re-export as may be required.

  • 11. Copyrights; Trademarks

    • The content included on the Auction Site, including but not limited to text, software, photographs, graphics, illustrations and artwork, video, music and sound, and names, logos, trademarks and service marks, are the property of Hyatt or its licensors or suppliers and are protected by copyright, trademark and other laws. You agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material for any purpose other than personal, non-commercial use (or legitimate activities of a travel agent or travel professional) without our written permission. Hyatt and Hyatt Gold Passport are registered trademarks of Hyatt Corporation Inc. and are registered with the U.S. Patent and Trademark Office and the trademark offices of certain other countries. The names, trademarks, logos, designs and trade dress shown on the Auction Site are owned by Hyatt and its affiliates and protected by the trademark laws of the United States and other jurisdictions.

  • 12. No Agency

    • No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created between you and Hyatt by this Agreement.

  • 13. Notices

    • All notices hereunder shall be given by certified mail, postage prepaid and return receipt requested, to: Hyatt Corporation, Attn: Corporate Counsel, 71 S. Wacker Drive, Chicago, IL 60606 and to you at the address listed in your Member profile. Notice shall be deemed given three (3) days after the date of the mailing.

  • 14. Governing Law; Dispute Resolution

    • You acknowledge and agree that this Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, regardless of the laws that might otherwise govern under applicable principles of conflicts of laws thereof. You acknowledge and agree that any dispute arising out of or relating to this Agreement or the breach, termination, or validity hereof will, at the initiation of either party, be settled by binding arbitration held in Chicago, Illinois. The arbitration proceeding will be conducted in accordance with the commercial arbitration rules of the American Arbitration Association in the State of Delaware by a single arbitrator selected in accordance with such rules. The arbitrator’s decision will be conclusive and binding, and may be enforced as appropriate through a court of competent jurisdiction. The prevailing party shall be entitled to recover its costs and fees (including reasonable attorneys’ fees) incurred in connection with obtaining the award.

  • 15. General

    • If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all incorporated agreements may be automatically assigned by Hyatt, in its sole discretion, to a third party. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar beaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. The provisions of this Agreement will survive termination or expiration to the extent necessary to carry out the intentions of the parties.
